Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Alpha Kings Global LLC ("Alpha Kings," "we," "us," "our"). By accessing or using the Alpha Kings platform at alphakings.io (the "Platform"), you agree to be bound by these Terms, our Privacy Policy, and all applicable laws.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM.

Alpha Kings operates a 100% skill-based trading competition platform. This is NOT gambling, a sportsbook, a prop trading firm, or an investment service. Winners are determined solely by trading skill and performance, not chance.

2. Eligibility

To use Alpha Kings, you must:

• Be at least 18 years of age
• Be a legal resident of a jurisdiction where skill-based competitions are permitted
• NOT be a resident of the following prohibited states: Arkansas (AR), Connecticut (CT), Delaware (DE), Louisiana (LA), South Dakota (SD), or Florida (FL) pending legal review
• Have the legal capacity to enter into binding contracts
• Provide accurate and truthful registration information
• Comply with all applicable local, state, federal, and international laws
• NOT be an employee, contractor, or immediate family member of Alpha Kings Global LLC or its affiliates

By creating an account, you represent and warrant that you meet all eligibility requirements. We reserve the right to verify your identity and location at any time. False information may result in immediate account termination and forfeiture of all funds.

3. Account Registration and Security

3.1 Account Creation

You may only create ONE account per person. Multiple accounts created by the same individual will result in permanent suspension and forfeiture of all balances.

3.2 Password Security

You are solely responsible for maintaining the confidentiality of your password. We strongly recommend enabling two-factor authentication (2FA). Alpha Kings will NEVER ask for your password via email, phone, or social media.

3.3 Account Compromise

You must immediately notify us at support@alphakings.io if you suspect unauthorized access to your account. Alpha Kings is NOT liable for losses resulting from compromised credentials due to your negligence.

4. Nature of the Platform - NOT Gambling

Alpha Kings is a 100% skill-based competition platform. Success depends entirely on your trading skill, strategy, risk management, and decision-making—NOT luck or chance.

All competitions use simulated trading environments with virtual starting balances (typically $100,000). No actual securities, forex, commodities, or cryptocurrency positions are opened on your behalf. You are NOT trading real markets.

NOT Financial Advice: Nothing on the Platform constitutes financial, investment, or trading advice. We do NOT recommend specific trades, strategies, or market positions. All trading decisions are yours alone.

5. Competition Entry and Fees

5.1 Entry Fees

Each competition requires an entry fee paid in USDC (stablecoin on Polygon network). Entry fees areNON-REFUNDABLE once a competition begins, except in cases where Alpha Kings cancels the competition.

5.2 Arena Fee

An Arena Fee is charged on competition entry to cover real-time data feeds, platform operations, and prize pool security:

• $1-$10 entry: $2 Arena Fee
• $11-$25 entry: $3 Arena Fee
• $26-$50 entry: $5 Arena Fee
• $51-$100 entry: $7 Arena Fee
• $101-$250 entry: $10 Arena Fee
• $251-$500 entry: $15 Arena Fee
• $501+ entry: $25 Arena Fee

5.3 Prize Pools

Prize pools are funded by entry fees (minus Arena Fee). Alpha Kings does NOT add additional funds to prize pools unless explicitly stated as a "guaranteed" or "added money" competition.

5.4 Minimum Participants

Competitions may require a minimum number of participants (typically 2-10). If minimum is not met, the competition will be cancelled and all entry fees refunded within 24 hours.

6. Payouts and Withdrawals

6.1 Competition Winnings

When you win a competition, your winnings are processed automatically within minutes of competition completion. A 5% Victory Fee is deducted from all winnings to cover blockchain transaction costs, automated processing, and payment processing overhead.

You have two options for receiving your winnings (after the 5% fee):

• Direct Payout (Recommended): Set up your USDC Polygon wallet address in your profile settings to receive winnings directly to your USDC Polygon wallet address automatically. No additional fees - you receive 95% of your gross prize immediately.
• Wallet Credit: If you haven't set up a payout address, winnings are credited to your Alpha Kings wallet balance (after 5% fee). You can then use this balance to enter more competitions or request a manual withdrawal.

6.2 Manual Withdrawal Fee

Manual withdrawals from your Alpha Kings wallet balance are subject to a 1% processing feeto cover additional blockchain transaction costs and manual processing overhead. Minimum withdrawal: $10 USDC.

Note: The 1% withdrawal fee covers blockchain transaction costs on the Polygon network.

6.3 Fee Examples

To help you understand the fee structure:

• Direct Payout: Win $100 5% fee ($5) Receive $95 directly to your wallet
• Wallet Credit + Withdrawal: Win $100 5% fee ($5) $95 credited to Alpha Kings wallet Manual withdrawal 1% fee ($0.95) Receive $94.05 to your wallet

6.4 Verification Requirements

Withdrawals may require identity verification (KYC) and/or two-factor authentication (2FA) for security and regulatory compliance. We reserve the right to delay or reject withdrawals if we suspect fraud, money laundering, or Terms violations.

6.5 Tax Responsibility

YOU are responsible for all taxes on winnings. Alpha Kings may report earnings to tax authorities as required by law. Consult a tax professional regarding your obligations.

7. User Conduct and Prohibited Actions

You agree NOT to:

• Use bots, scripts, automated trading systems, or third-party tools to gain unfair advantages
• Collude with other users to manipulate competition results or share strategies during live competitions
• Create multiple accounts (each person is limited to ONE account)
• Engage in any form of cheating, exploitation, or abuse of Platform mechanics
• Reverse-engineer, decompile, or attempt to extract source code from the Platform
• Use the Platform for money laundering, terrorist financing, or any illegal activities
• Harass, threaten, abuse, or defame other users or Alpha Kings staff
• Post offensive, discriminatory, or inappropriate content in usernames, chat, or communications
• Attempt to hack, breach security, or gain unauthorized access to Platform systems or user accounts
• Interfere with or disrupt Platform operations, servers, or networks
• Misrepresent your identity, age, location, or eligibility
• Share your account credentials with others or allow account access by third parties

Violations may result in: Immediate account suspension, permanent ban, forfeiture of all balances and winnings, and legal action including criminal prosecution for fraud or hacking.

8. Competition Rules

8.1 Trading Environment

All competitions are simulated trading environments. Starting balance is typically $100,000 virtual capital. Leverage varies by asset class (100:1 for forex/metals/indices, varies for crypto).

8.2 Winner Determination

Winners are determined by highest P&L (profit and loss) at competition end time. In case of ties, the user who reached the P&L first wins. All competition results are FINAL.

8.3 Prize Distribution

Unless otherwise stated, competitions are winner-take-all. Multi-tier payouts (e.g., top 3 finishers) will be clearly indicated before entry.

8.4 Data Feeds and Pricing

We use real-time market data from third-party providers (Binance, BJF/LMAX). While we strive for accuracy, we are NOT liable for data feed errors, delays, or discrepancies. Competitions may be cancelled and refunded if critical data issues occur.

8.5 Competition Cancellation

Alpha Kings reserves the right to cancel any competition due to technical issues, insufficient participants, suspected fraud, or force majeure events. All entry fees will be refunded to affected users.

9. Intellectual Property

All content, trademarks, logos, designs, code, and materials on the Platform are owned by Alpha Kings Global LLC or our licensors and protected by U.S. and international copyright, trademark, and intellectual property laws.

You may NOT copy, reproduce, modify, distribute, or create derivative works without our express written permission. Unauthorized use may result in legal action and damages claims.

10. Disclaimers and Limitations of Liability

10.1 "AS IS" Basis

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE.

10.2 No Liability for Losses

ALPHA KINGS IS NOT LIABLE FOR:

• Technical failures, server downtime, website unavailability, or platform errors
• Data feed interruptions, delays, or inaccuracies from third-party providers
• Poor trading performance, competition losses, or negative P&L results
• Unauthorized account access due to weak passwords or failure to enable 2FA
• Third-party payment processor issues, delays, or failures (Uniwire)
• Changes in cryptocurrency values affecting USDC deposits or withdrawals
• Loss of funds due to phishing, scams, or social engineering attacks
• Tax liabilities or penalties related to winnings
• Actions or omissions by other users

10.3 Maximum Liability Cap

IN NO EVENT SHALL ALPHA KINGS' TOTAL LIABILITY TO YOU EXCEED THE AMOUNT OF ENTRY FEES YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

10.4 No Consequential Damages

ALPHA KINGS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

11. Indemnification

You agree to INDEMNIFY, DEFEND, AND HOLD HARMLESS Alpha Kings Global LLC, its officers, directors, employees, contractors, agents, affiliates, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Platform
• Violation of these Terms or any applicable laws
• Infringement of third-party intellectual property or privacy rights
• Your trading decisions, strategies, or competition performance
• False or misleading information provided during registration
• Unauthorized account access due to your negligence
• Tax liabilities or reporting failures

This indemnification obligation survives termination of your account and these Terms.

12. Account Termination

12.1 Termination by You

You may close your account at any time by emailing support@alphakings.io. Upon closure, you must withdraw all remaining balances. We are not responsible for funds left in closed accounts.

12.2 Termination by Alpha Kings

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Suspected fraud, cheating, or collusion
• Multiple account creation
• Chargebacks or payment disputes
• Abusive behavior toward staff or users
• Legal or regulatory requirements
• Ineligibility (underage, prohibited jurisdiction)

Upon termination for cause, Alpha Kings may forfeit all account balances and winnings.

13. Dispute Resolution - Pre-Arbitration Notice

Before filing arbitration, you must first email legal@alphakings.io with a detailed description of the dispute. We will attempt to resolve the issue within 30 days. This informal resolution is MANDATORYbefore proceeding to arbitration.

14. Force Majeure

Alpha Kings is not liable for delays or failures in performance caused by events beyond our reasonable control, including: natural disasters, pandemics, war, terrorism, riots, government actions, internet outages, power failures, cyberattacks, or blockchain network congestion.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and/or a prominent notice on the Platform. The "Last Updated" date reflects the most recent revision. Continued use of the Platform after changes constitutes acceptance.

If you do not agree to updated Terms, you must stop using the Platform and close your account.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

If the arbitration agreement is found invalid or if you opt out, you agree that all disputes will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

19. No Partnership or Agency

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Alpha Kings. You have no authority to bind Alpha Kings or make representations on our behalf.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Alpha Kings regarding the Platform and supersede all prior agreements, understandings, or representations.
